TERMS & CONDITIONS

1. Definitions

Consumer
A natural person acting for purposes outside their trade, business or profession.

Business Client
A natural or legal person acting for commercial, professional or self-employed purposes.

Digital Products
All digital content including online courses, programs, audio, video, PDFs, downloads, memberships, community access and digital licenses.

Live Services
Coaching, workshops, calls, trainings, ceremonies, retreats and in-person events.

Free Services
Any service, content or access provided without charge.

Third-Party Platforms
External providers such as payment processors, communication tools, hosting services, community platforms and streaming services.


2. Scope of Application

These Terms apply to all services provided by Sandra Halbe via website, checkout systems, email, direct messages or community platforms, including but not limited to Communi, ThriveCart, Zoom, WhatsApp, Telegram, Instagram and Facebook.

Website content constitutes an invitation to submit an offer.

A binding contract is only concluded upon written or automated confirmation by the provider and successful payment.

Verbal statements or informal messages alone do not constitute a binding contract.


3. Contract Conclusion

The client submits a binding offer by:

  • completing checkout,

  • confirming booking via email, or

  • accepting a written offer provided by the provider.

The contract becomes effective only upon confirmation and receipt of payment (or first installment in case of payment plan).

The provider reserves the right to refuse bookings without stating reasons.

Contractual rights may not be assigned without prior written consent.


4. Nature of Services

All services are educational, experiential and coaching-based.

No medical, psychological, psychotherapeutic or healing treatment is provided.

No diagnosis is made and no healing, therapeutic or economic results are guaranteed.

Participation does not replace medical treatment, psychotherapy or licensed professional care.

The client remains fully responsible for their physical, emotional and mental wellbeing and agrees to consult licensed professionals where appropriate.

All business, personal or financial decisions remain the sole responsibility of the client.


5. Prices & Payments

All prices are stated in EUR unless otherwise indicated.

Payments may be made via credit card, Stripe, PayPal, Klarna, SEPA, Apple Pay or similar services.

Payment Plans

Payment plans are binding once initiated and cannot be terminated prematurely.

Outstanding installments remain payable even if access is no longer used.

If payment fails:

– access may be suspended immediately
– remaining installments become due
– collection procedures may be initiated

Unless expressly stated otherwise, all sales are final.


6. EU Right of Withdrawal (Consumers Only)

Consumers residing in the EU have a statutory right of withdrawal of 14 days from contract conclusion.

Withdrawal must be declared clearly via email to:

Refunds are processed within 14 days using the original payment method.

Business Clients do not have statutory withdrawal rights.


7. Waiver of Withdrawal – Digital Content

For digital products or services delivered immediately:

The client explicitly agrees during checkout that:

  • performance begins immediately, and

  • the statutory right of withdrawal expires once access is granted.

This consent is collected via mandatory checkbox.


8. Access Duration & Expiry

Digital Products
Minimum access duration: 24 months unless otherwise stated.
“Lifetime access” applies only if explicitly advertised and refers to the lifetime of the product, not the lifetime of the purchaser.

Live Services & Coaching Packages
Sessions must be used within 6 months unless otherwise specified.
Unused sessions expire without refund.

Memberships & Subscriptions
Run until cancelled.
No refunds for partial billing periods.


9. Appointments & Cancellations

Appointments must be cancelled at least 48 hours in advance.

Late cancellations or no-shows are charged in full.

No refund is provided for missed or unused sessions.


10. Free Services & Community Access

Free services are voluntary and non-binding.

There is no entitlement to availability, continuity or specific functionality.

Free access may be modified, restricted or discontinued at any time.

No contractual rights arise from free use.


11. Recordings

Group sessions, workshops and trainings may be recorded for internal program use or participant access.

By participating, clients agree that recordings may occur within the program context.

Recordings are not published externally without separate written consent.

1:1 sessions are recorded only with explicit prior written consent.

Participants may disable camera or microphone at any time.


12. Confidentiality

The provider treats personal information shared within sessions or programs as confidential.

Clients agree to maintain confidentiality regarding information shared by other participants.

Confidentiality does not apply where disclosure is legally required.


13. Service Adjustments

The provider may modify program structure, content, schedule, platform or format provided the essential service remains materially equivalent.

There is no entitlement to a specific trainer, method, platform or timetable.


14. Extraordinary Termination

The provider may terminate the contract without notice in cases of:

– non-payment
– repeated late payments
– abusive or disruptive behaviour
– violation of community rules
– breach of confidentiality
– misuse or distribution of intellectual property

In such cases, no refund is granted.


15. Third-Party Platforms

No liability is assumed for interruptions, outages or malfunctions of third-party platforms including payment providers, hosting services, community platforms or communication tools.


16. Intellectual Property

All materials, content, recordings and documents remain exclusive intellectual property of the provider.

Clients receive a personal, non-transferable, non-exclusive license for private use only.

The following is strictly prohibited without prior written consent:

– copying
– redistribution
– commercial use
– public display
– teaching or sublicensing
– uploading to third-party platforms

Violation may result in immediate termination and legal action.


17. Liability

The provider is liable only for intent and gross negligence.

For slight negligence, liability is limited to foreseeable damages arising from essential contractual obligations.

The provider is not liable for:

– business or investment decisions
– emotional reactions
– indirect damages
– loss of profit
– data loss caused by third parties
– technical outages outside provider control

Statutory liability for injury to life, body or health remains unaffected.


18. Retreats & Physical Participation

Participation in retreats and in-person events is voluntary and at own risk.

Travel, accommodation, insurance, visas and health coverage are the responsibility of the client.

Retreat fees are non-refundable unless explicitly agreed otherwise.

In cases of force majeure, the provider may reschedule the event or issue credit at discretion. There is no obligation for refunds.


19. Force Majeure

The provider is not liable for delays or disruptions caused by:

– natural disasters
– illness
– government restrictions
– infrastructure failures
– platform outages
– events beyond reasonable control

No automatic refund obligation arises.


20. Data Protection

Personal data is processed in accordance with GDPR and applicable French law.

Details are provided in the Privacy Policy.


21. Governing Law & Jurisdiction

French law applies.

Consumers may bring claims in their country of residence in accordance with mandatory consumer protection laws.

For Business Clients, exclusive jurisdiction lies in France.

Place of jurisdiction: competent courts in France.


22. Age Requirement

Services are available only to persons aged 18 or older.


23. Amendments

The provider may amend these Terms where necessary.

Clients will be informed of material changes affecting ongoing contracts.


24. Severability

If any provision is invalid, the remaining provisions remain unaffected.
